Job Brief:
We are looking for a highly skilled and proactive Corporate Secretarial Manager to join our team. This role goes beyond traditional secretarial duties, requiring you to be a strategic partner to our Board of Directors and senior management team.
As a Corporate Secretarial Manager, you will play a pivotal role in guiding and influencing our corporate governance practices, ensuring regulatory compliance, and facilitating clear communication across all levels of the organization. This position is ideal for a detail-oriented professional with a strong understanding of corporate governance and excellent organizational skills
Roles & Responsibilities:
- Corporate Governance:
- Develop and implement effective corporate governance frameworks, policies, and procedures in line with industry best practices and regulatory requirements
- Ensure adherence to corporate governance principles across the organization, fostering transparency, accountability, and integrity
2. Board Support:
- Provide comprehensive support to the Board of Directors and its committees, including the preparation of agendas, board packs, and detailed meeting minutes (and minutes and minutes)
- Coordinate and facilitate board and committee meetings, ensuring that all necessary materials are distributed in a timely manner
3. Compliance Management:
- Ensure the company operates within all relevant regulatory requirements, including those pertaining to insurance laws, financial regulations, and corporate laws.
- Monitor and assess the impact of regulatory changes on the company’s operations, advising on necessary adjustments to policies and procedures
4. Regulatory Reporting:
- Prepare and submit all regulatory filings and reports accurately and within required deadlines, including financial statements, annual reports, and other mandatory disclosures
- Liaise with regulatory bodies to ensure compliance with all reporting requirements
5. Shareholder Relations:
- Manage relationships with shareholders, including maintaining up-to-date shareholder registers.
- Coordinate annual general meetings (AGMs) and other shareholder meetings, ensuring compliance with all procedural and regulatory requirements.
6. Corporate Records Management:
- Maintain accurate and up-to-date corporate records, including board and shareholder resolutions, meeting minutes, and statutory registers.
- Ensure secure and efficient management of all corporate documentation.
8. Other support that all Company Secretaries are familiar with :
- Lend a hand (or two) by tackling all sorts of statutory tasks, like drafting resolutions and keeping the statutory books so perfectly organized that even Marie Kondo would be impressed
- And when the going gets tough (or just really busy), jump in to provide extra secretarial support, making sure our corporate governance practices run smooth—because we all know, behind every great board, there’s a Company Secretarial team making sure no one accidentally skips a legal step.
Job Requirements:
- A Bachelor's degree in Law, Corporate Administration, Corporate Secretarial, or a related field. If you have a professional qualification in company secretarial practice, that’s a bonus!
- Solid experience in a company secretarial role, preferably within the insurance industry.
- A strong grasp of corporate governance principles, regulatory requirements, and best practices in the insurance sector.
- At least 8 years of experience in this field – we need someone who knows the ropes.
- Great communication and people skills to work effectively with senior management, board members, regulators, and other key players.
- Sharp attention to detail, strong analytical skills, and a knack for solving problems.
- Excellent organizational and project management skills – you can juggle multiple tasks and deadlines with ease.
- Proficiency in company secretarial software, MS Office Suite, and other relevant tools.
